Verizon to Acquire Fleetmatics for $2.4 Billion

Verizon Communications agreed to acquire Fleetmatics Group PLC (NYSE: FLTX)for $60.00 per share in cash – representing a value of approximately $2.4 billion.

Fleetmatics offers software-as-a-service (SaaS) fleet management solution that provides operators with visibility into vehicle location, fuel usage, speed and mileage, and other insights into their mobile workforce.

As of March 31, 2016, Fleetmatics served approximately 37,000 customers and approximately 737,000 subscribed vehicles throughout Australia, Canada, France, Ireland, Mexico, the Netherlands, the United Kingdom, the United States and Italy. The company has approximately 1,200 employees and is headquartered in Dublin, Ireland, with North American headquarters in Waltham, Mass.

"Fleetmatics is a market leader in North America -- and increasingly internationally -- and they've developed a wide-range of compelling SaaS-based products and solutions for small- and medium-sized businesses," said Andrés Irlando, CEO of Verizon Telematics. In June, Verizon Telematics also announced the acquisition of Telogis, Inc., a global, cloud-based mobile enterprise management software company based in Aliso Viejo, Calif. That transaction closed on July 29.

Verizon Confirms $4.8 Billion Acquisition of Yahoo


Verizon confirmed a deal to acquire Yahoo for $4.8 billion in cash. The deal does not include Yahoo’s cash, its shares in Alibaba Group Holdings, its shares in Yahoo Japan, Yahoo’s convertible notes, certain minority investments, and Yahoo’s non-core patents (called the Excalibur portfolio). Verizon to Acquire XO's Fiber Business for $1.8 Billion


Verizon Communications has agreed to acquire XO Communications’ fiber-optic network business for approximately $1.8 billion. Verizon cited several financial benefits from the transaction, including a step-up in the basis of the assets as well as operating and capital expense savings. The net present value of the operational synergies is expected to be in excess of $1.5 billion. Separately, Verizon will simultaneously lease available XO wireless





Verizon Cites Mobile Content Strategy for AOL Acquisition


Verizon announced plans to acquire AOL for $50 per share -- an estimated total value of approximately $4.4 billion -- for its digital content and advertising platforms. Radisys and InterDigital Demo M2M + LTE Core Interoperability

Radisys and InterDigital have demonstrated interoperability between a Radisys end-to-end LTE network, including the CellEngine eNodeB and Evolved Packet Core, with InterDigital’s oneMPOWER Platform.

The demo, which is showcased at this week's IoT Korea International Conference in Seoul, Korea, includes 3GPP Release 12 compliant Radisys’ Trillium LTE CNE and CellEngine TOTALeNodeB LTE small cell software with certain feature modifications by InterDigital along with Google Nexus 5 handsets.

SpaceX to Launch ORBCOMM OG2 Satellites on Next Mission

SpaceX will launch eleven of ORBCOMM's OG2 satellites from Cape Canaveral Air Force Station in Florida on the next launch of the SpaceX Falcon 9 rocket, which is targeted to take place in the next six to eight weeks.

In July 2014, SpaceX successfully launched ORBCOMM’s first OG2 mission of six satellites.

This launch will complete ORBCOMM’s next generation satellite constellation.

ORBCOMM’s OG2 satellites are equipped with an Automatic Identification System (AIS) payload to receive and report transmissions from AIS-equipped vessels for ship tracking and other maritime navigational and safety efforts, increasing asset visibility and the probability of detection for ORBCOMM’s AIS customers.

Verizon Hum integrates Vehicle Telematics and Concierge Service

Verizon Telematics launched hum, an aftermarket vehicle technology and subscription service that enables drivers on the road to make their car smarter through a simple solution regardless of their wireless service provider.

Hum features:

  • Pinpoint Roadside Assistance for breakdowns, flat tires, overheating, dead battery or virtually anything else that might require towing or roadside assistance.
  • Incident Alert & Emergency Assistance notifies the hum emergency response center if the system detects an incident. Help will be dispatched to the vehicle’s GPS location if an accident is confirmed or if there is no response from the driver for additional support. Drivers can also initiate a call at the push of a button to speak with a trained, live agent.
  • Auto Health & Diagnostics helps predict and prevent mechanical issues before they become bigger problems by giving subscribers’ insights into their car’s health via the hum web portal and smartphone app.
  • Mechanic’s Hotline connects subscribers with ASE Certified Mechanics providing personalized, immediate and unbiased consultation related to their vehicle’s repair and maintenance issues.
  • Parking & Meter Tools help drivers find where they left their vehicle — using the hum smartphone app — while also keeping tabs on how much time is left on the meter.

Cubic Telecom Secures EUR 18 Million for M2M Connectivity

Cubic Telecom, a start-up based in Dublin, Ireland, has secured €18 million in venture funding for its global Machine to Machine (M2M) connectivity platform.

Cubic Telecom is focused on enabling seamless global connectivity solutions for enterprise customers across automotive, computer OEM and retail sectors. Cubic’s applications and technologies are embedded at the manufacturing stage, enabling enterprise customers to offer always-on connectivity anywhere in the world. Cubic is actively working with some of the world’s leading Fortune 100 tablet and notebook manufacturers including HP and Lenovo, and Australia’s number one retailer Woolworths. More recently Cubic expanded its business to partner with some of the most innovative M2M and automotive companies in the world.

The funding comes in the form of a co-investment from Audi Electronics Venture GmbH (AEV), a subsidiary of AUDI AG focused on investing in innovative technologies, and Qualcomm Incorporated (QCOM), a world leader in 3G, 4G and next-generation wireless technologies.

Existing investors include Sierra Wireless, ACT Venture Capital, TPS Investment Limited and Enterprise Ireland. This is Qualcomm’s fourth investment in Cubic, highlighting the strength of the partnership between the two organizations.

Orange Business Acquires a Fleet Management Company

Orange Business Services has acquired Ocean, a fleet management and vehicle tracking company in France. Financial terms were not disclosed.

The company, which currently manages 45,000 vehicles for 2,000 corporate clients, will become an operational unit of Orange Applications for Business – the digital services division of Orange Business Services specializing in connected objects, the digitalization of customer experience, Big Data and data analytics.

Telefonica’s now has over 500 enterprises using its Smart m2m solution worldwide, for a total of over 10 million connections.

The Smart m2m solution, which was developed and built with Telefonica’s own assets and resources, incorporates advanced features such as real time consumption monitoring, supervision and global tracking. The solution also offers fraud detection functionalities such as the ability to restrict communication between a list of given devices, whilst also providing flexible communication plans.

Deutsche Telekom Expands its Cloud Ecosystem

At this week's CeBIT 2015, Deutsche Telekom' T-Systems integration arm is showcasing its growing cloud ecosystem and M2M initiatives.  Some highlights:

Industry 4.0 - an M2M starter kit that contains everything a machine needs to go online: hardware, SIM card with data rate plan and access to the "Cloud der Dinge" (Cloud of Things) platform, which records and processes device and sensor data. Deutsche Telekom hosts this platform in high-security data centers in Germany.

Telekom and Salesforce - showing a mobile-ready create Customer Experience for Automotive solution that brings together financial, aftermarket and dealer management systems.  It built entirely on the Salesforce Platform.

Telekom and Cisco - T-Systems will operate and market the European part of the Cisco Intercloud as a secure public cloud. The vision is for all Intercloud partners to provide their solutions via the new, hybrid cloud infrastructure to customers around the world. The Cisco infrastructure is currently being installed in the new high-performance data center in Biere near Magdeburg. In addition to infrastructure offers based on the Intercloud, in the future, Deutsche Telekom will also offer software and platform services. The first Software-as-a-Service product, a managed hotspot that enables small and medium-sized enterprises to access the Internet quickly, easily and securely, will be available in the second quarter of 2015.

T-Systems and SAP  - T-Systems is offering SuccessFactors HCM (Human Capital Management), an application for HR management. This solution from the SAP subsidiary also enables processing of particularly sensitive civil servant data. From April 2015, Deutsche Telekom will also increase its own productivity with SuccessFactors HCM: The Group is making use of the highly scalable cloud application for the worldwide recruitment and targeted training of the some 220,000 employees.

BVMW - the German Association for Small and Medium-sized Businesses, is one of SugarCRM and Deutsche Telekom’s first joint customers. BVMW representatives make more than 700,000 contacts each year to represent the interests of the organization’s 270,000 member companies. In the past, individual BVMW offices separately managed member contacts with several different systems. The inability to share and synchronize information across systems was increasingly tedious and time-consuming.

International M2M Council Gains Momentum

The International M2M Council (IMC), which is an industry group representing the Internet of Things (IoT) and Machine-to-Machine Communications (M2M) sector, announced that KORE CEO Alex Brisbourne has been voted Chairman. KORE is the world's largest mobile virtual network operator (MVNO) dedicated to providing wireless connectivity for M2M.

The IMC also noted that its membership roster has skyrocketed to over 5,000 members joining since February of 2014. Board member-companies include Aeris, Amdocs, AT&T, B&B Electronics, Deutsche Telekom, Digi International, Inmarsat, Iridium, KORE, Numerex, Orbcomm, Synapse Wireless, Telecom Italia, Telit, Verizon, and Wyless.

Sierra Wireless to Acquire M2M Service Provider for $90M

Sierra Wireless agreed to acquire Wireless Maingate AB, a provider of machine-to-machine (M2M) connectivity and data management services for US $90 million in cash. The transaction is expected to close in February 2015.

Wireless Maingate, which is based in Karlskrona, Sweden, provides managed M2M connectivity and information management services to more than 500 customers across Europe, reaching a subscriber base of more than 500,000 connected devices. Maingate’s value-added services include leading-edge over-the-air subscription provisioning and tailored connectivity solutions for a broad range of M2M industries. The company claims a strong base of recurring revenue and expects 2014 turnover of over US $19 million and earnings before interest, taxes, depreciation, and amortization (EBITDA) of US $6 million. Sierra Wireless expects the transaction to be immediately accretive to earnings.

Telefónica Teams with Geotab on M2M for Fleets

Telefónica announced a partnership with Geotab to provide M2M fleet transport telematics technology in Spain, Germany and the U.K. with the intention to explore Latin American markets in the near future.

The solution, which includes Geotab’s plug-and-play device, offers real time fleet management and the ability to develop a number of alerts, notifications, and review driver trip and activity reports. Advanced features also include on-board diagnostics through engine indicators to return feedback, such as engine failures, or an in-depth engine fault code diagnosis; detect accidents and retrace cause of the accident; and allow add-ons such as a navigational device, NFC driver ID key, sensors and more.

KORE Advances its Goal to Become Leading M2M Provider

ABRY Partners, a leading private equity investment firm, has acquired a majority interest in KORE Wireless Group, which is a global provider of managed M2M communications services.  The deal brings growth and acquisition capital that will allow KORE to execute on its mission to become the pre-eminent independent provider of broad-based M2M service solutions on a global basis.

As the first step in its broader strategy, KORE also today announced the acquisition, in an all-cash transaction, of RacoWireless, which also specializes in IoT/M2M connectivity solutions.  The combined company will have offices in five countries and serve more than 3 million subscribers on behalf of over 1,500 customers using services in more than 110 markets around the world.

Tesla Signs with DOCOMO for Telematics in Japan

Telsa Motors has selected NTT DOCOMO to provide M2M connectivity and mobile communications for the Tesla Model S in Japan.

The in-car telematics include navigation using high-resolution maps, online music such as on-demand Internet radio, and communications via the vehicle's 17-inch touchscreen. Tesla anticipates first deliveries of it its Model S in Japan this summer.

Tesla selected DOCOMO after favorably evaluating its mobile network infrastructure's stable, extra-wide availability, including in downtown areas with skyscrapers and in mountainous regions, and extensive support for corporate customers.

M2M Spectrum Networks Plans Nationwide Network

M2M Spectrum Networks, a new venture based in Phoenix, Arizona unveiled its plan to build and operate a licensed, all-IP, wireless Machine-to-Machine (M2M) network throughout the United States. The company will acquire spectrum and facilities from a variety of partners.

M2M Spectrum Networks said it is currently deploying its dedicated, nationwide M2M network in conjunction with network equipment, engineering, site acquisition, and construction partners. It will take a proprietary approach to assembling a nationwide wireless network that is says "substantially lowers costs and dramatically speeds implementation from what was experienced in the slow and expensive nationwide cellular network buildout programs."

The company is planning trials in Q2 2014 and expects to cover 75% of the US population by the end of 2015, and 95% by the end of 2016.

Industrial Internet Consortium Sets Charter

A new Industrial Internet Consortium (IIC) has been established to support better access to big data in industrial settings by offering improved integration of the physical and digital elements.  The goal is to enable organizations to more easily connect and optimize assets, operations and data to drive agility and to unlock business value across all industrial sectors. Backers include AT&T, Cisco, GE, IBM and Intel.

Specifically, the IIC’s charter will be to encourage innovation by:  

  • Utilizing existing and creating new industry use cases and test beds for real-world applications;
  • Delivering best practices, reference architectures, case studies, and standards requirements to ease deployment of connected technologies;
  • Influencing the global standards development process for Internet and industrial systems;
  • Facilitating open forums to share and exchange real-world ideas, practices, lessons, and insights;
  • Building confidence around new and innovative approaches to security. 

“We are at the precipice of a major technological shift at the intersection of the cyber and physical worlds, one with broad implications that will lead to substantial benefits, not just for any one organization, but for humanity," said Janos Sztipanovits, E. Qualcomm Sells Omnitracs Europe to Astrata

Qualcomm announced the sale of its Omnitracs Europe division to Astrata Group Private Limited.  Financial terms were not disclosed.

Omnitracs Europe specializes in commercial vehicle telematics for the trucking industry.

"The Omnitracs Europe name is synonymous with quality and customer service at the highest level," said George M. Kappaz, Chairman and CEO of Astrata, and Chairman of CIH International Group, the private equity group that owns Astrata. Qualcomm Finalizes $800 Million Sale of Omnitracs

Qualcomm completed the the sale of its Omnitracs subsidiary to Vista Equity Partners (Vista), a U.S.-based private equity firm, for approximately $800 million in cash.  The sale includes all of Omnitracs' operations in the United States, Canada and Latin America. The deal was first announced in August.

"Omnitracs was one of Qualcomm's earliest businesses and has been a leader in fleet management and telematics for more than 25 years. AT&T and GE Sign Global Alliance for "Industrial Internet" M2M

AT&T and GE announced a global alliance agreement to allow GE machines to connect to the AT&T network and cloud, creating the first highly-secure wireless communications system for GE's "Industrial Internet."

The companies expect their machine-to-machine (M2M) communications system will allow customers to benefit from increased productivity. Workers using the system will be able to remotely track, monitor, record and operate GE machinery, virtually anywhere in the world.

The companies are developing solutions that combine AT&T network technologies, single Global SIM (subscriber identity module), device expertise, security, and cloud access for industrial products like electric vehicle chargers, lighting and engines.  The companies also plan to collaborate in the AT&T Foundry innovation center to build M2M solutions for GE's Predix platform for proactively maintaining and remotely controling industrial machines.

"Imagine a world where an airline for example can remotely monitor, diagnose and resolve issues with its fleet engines virtually anywhere in the world," said Andy Geisse, Chief Executive Officer, AT&T Business Solutions.
