AT&T says consumer demand remains healthy, CAPEX plans on track

AT&T expects to invest at record levels this year to meet growing demand for core connectivity, while also meeting free cash flow guidance for the year in the $14 billion range and continuing to pay an attractive dividend, according to Pascal Desroches, senior executive vice president and chief financial officer.

Speaking at the Morgan Stanley European Technology, Media & Telecom Conference, Desroches said AT&T expects elevated levels of capital investment in 2022 and 2023 with moderated investment beginning in 2024. He said AT&T continues to be pleased with the return profile of its fiber and 5G investments as the company continues to add customers. The company said customer demand for connectivity services remains healthy, although it continues to monitor macro economic conditions.

Desroches indicated that the company’s long-term capital allocation priorities remain unchanged, 95% of the company’s debt is fixed and that he continues to expect AT&T will use cash after dividends to reduce debt, with a goal of reducing net debt-to-adjusted EBITDA to the 2.5x range.

AT&T midband 5G deployment on or ahead of schedule

Citing strong, sustained momentum in customer additions across its growing 5G wireless and fiber networks, AT&T reported Q3 2022 revenue of $30.0 billion versus $31.3 billion in the year-ago quarter, down 4.1% reflecting the impact of the U.S. Video separation in July 2021. Excluding the impact of U.S. Video, operating revenues for standalone AT&T were up 3.1%, from $29.1 billion in the year-ago quarter. This increase primarily reflects higher Mobility revenues, and to a lesser extent Consumer Wireline and Mexico, partly offset by lower Business Wireline revenues.

“We’re investing at record levels to enhance our 5G and fiber connectivity and to deliver the best experience available in the market,” said John Stankey, AT&T CEO. “Our results show our strategy is resonating with customers as we continue to see robust levels of postpaid phone net adds and approach 1 million AT&T Fiber net adds for the year."

Some highlights:

  • Communications revenues were $29.1 billion, up 3.2% year over year primarily due to increases in Mobility and, to a lesser extent, Consumer Wireline, which more than offset a decline in Business Wireline.
  • Mobility revenues were up 6.0% year over year to $20.3 billion due to higher service and equipment revenues. Service revenues were $15.3 billion, up 5.6% year over year, primarily driven by subscriber and postpaid ARPU growth
  • Internet of Things (IoT) connections, including wholesale, have now reached more than 100 million.
  • FirstNet connections reached approximately 4 million across more than 23,000 agencies. 
  • Business Wireline revenues were $5.7 billion, down 4.5% year over year due to lower demand for legacy voice and data services and product simplification, partly offset by growth in connectivity services. 
  • 708,000 postpaid phone net adds; 2.2 million-plus through the third quarter, expected to be industry best
  • 338,000 AT&T Fiber net adds, second-best quarter ever; 11 straight quarters with more than 200,000 net adds.

AT&T boosts mid-band spectrum and adds resiliency with FirstNet

AT&T is furthering expanding 5G on FirstNet by boosting dedicated in-building connectivity and enhancing 9-1-1 resiliency across Tennessee with FirstNet as a wireless backup, a first.

Public safety in more than 40 cities – including Boston, Charlotte, Chicago, Minneapolis, Nashville, Phoenix, Seattle and St. Louis – can access AT&T mid-band 5G+ spectrum. This provides first responders in about 100 markets across the country with access to at least 1 of the 3 flavors of 5G (using low-, mid- and high-band spectrum).

Qualified first responder agencies on FirstNet can now get Cell Booster Pros for use in areas where they've previously experienced connectivity challenges at no cost to them. The Cell Booster Pro is an enterprise-grade mini cell site that provides reliable connectivity for public safety on FirstNet, as well as employees and visitors on the AT&T commercial network. The Cell Booster Pro transmits public safety's high-quality Band 14 spectrum as well as AT&T commercial LTE. 

In addition, AT&T will equip 9-1-1 call centers, or public safety answering points (PSAPs), and first responders in Tennessee with an integrated infrastructure that allows them to be more flexible, resilient and agile. AT&T ESInet has been integrated with the FirstNet network to extend network connectivity to remote PSAPs that are either hard to reach or experiencing an outage. The State of Tennessee is leading the country in deploying this innovative solution at every PSAP across the state. 

AT&T said this interoperability with FirstNet enables redundancy, resiliency and agility with AT&T ESInet so that PSAPs can focus on keeping their communities safe. If AT&T ESInet detects a disruption to the primary connection of a 9-1-1 call center, it will automatically route 9-1-1 calls over the FirstNet network to a remote PSAP. This integration strengthens PSAPs to maintain operations and creates a path for future Next Generation 9-1-1 technologies, including videos and images. These technologies allow PSAPs to coordinate with first responders more efficiently, improve situational awareness and reduce response times.

Andre Fuetsch steps down from AT&T and the O-RAN Board

Andre Fuetsch, Network Chief Technology Officer of AT&T, is retiring, effective August 30, 2022. He is also stepping down from his Chairman position at the O-RAN ALLIANCE. AT&T will remain on the O-RAN Board as a founding member.

“Under Andre’s leadership, O-RAN has grown to a well-respected body changing the paradigm of Radio Access Networks towards openness, intelligence and innovation,” said Alex Jinsung Choi, Chief Operating Officer and interim Chairman of the O-RAN ALLIANCE and SVP of Strategy and Technology Innovation at Deutsche Telekom. “Many thanks to Andre for his chairmanship in the past four years and lots of success in his next career and personal life.”

AT&T chases growth in 5G and fiber

AT&T reported Q2 revenues from continuing operations of $29.6 billion versus $35.7 billion in the year-ago quarter, down 17.1% reflecting the impact of the U.S. Video separation in Q3 2021 and certain other divested businesses. Excluding the impact of these divestitures, operating revenues for standalone AT&T were up 2.2%, from $29.0 billion in the year-ago quarter.

AT&T said its results were driven by higher Mobility revenues and, to a lesser extent, higher Mexico and Consumer Wireline revenues, partially offset by lower Business Wireline revenues.  

“We’re expanding our customer base at an accelerated pace across our twin engines of growth – 5G and fiber,” said John Stankey, AT&T CEO. “We’re rapidly building out our best-in-class networks on the heels of record-level connectivity investment. We’ve already added nearly 2 million AT&T Fiber locations this year and just reached our target of covering 70 million people with mid-band 5G spectrum two quarters early, with expectations to now approach the 100 million mark by the end of year.”

On the investor conference call, AT&T also disclosed that more customers are falling behind in monthly payments.


Some additional highlights:

Mobility

  • Revenues were up 5.2% year over year, to $19.9 billion due to higher service and equipment revenues. Service revenues were $15.0 billion, up 4.6% year over year, primarily driven by subscriber growth. Equipment revenues were $4.9 billion, up 7.2% year over year, driven by increased sales of higher priced smartphones.
  • Operating expenses were $13.7 billion, up 6.1% year over year due to higher equipment costs, network costs, bad debt expense, amortization of customer acquisition costs, HBO Max content costs, FirstNet 
  • Total net adds were 6.6 million
  • Postpaid churn was 0.93% versus 0.87% in the year-ago quarter.
  • Postpaid phone churn was 0.75% versus 0.69% in the year-ago quarter.
  • Postpaid phone-only ARPU was $54.81, up 1.1% versus the year-ago quarter, due to improved international roaming and a mix shift to higher-priced unlimited plans.
  • FirstNet connections reached approximately 3.7 million across more than 21,800 agencies. 

Business Wireline

  • Revenues were $5.6 billion, down 7.6% year over year due to lower demand for legacy voice and data services, a strategic decision to deemphasize non-core services and lower revenues from the government sector. 
  • Operating expenses were $4.9 billion, down 2.0% year over year due to ongoing operational cost efficiencies and lower amortization of deferred fulfillment costs, partially offset by higher wholesale network access costs and higher depreciation expense. 

Consumer Wireline

  • Revenues were $3.2 billion, up 1.1% year over year due to gains in broadband more than offsetting declines in legacy voice and data services and other services. Broadband revenues increased 5.6% due to fiber growth of nearly 28%, partially offset by non-fiber revenue declines of 9.8%.
  • Total broadband losses, excluding DSL, were 25,000, reflecting AT&T Fiber net adds of 316,000, more than offset by losses in non-fiber services. AT&T Fiber now has the ability to serve 18 million customer locations, and offers symmetrical speeds up to 5-Gigs across parts of its entire footprint of more than 100 metro areas.

AT&T announces $13m broadband fiber project in Indiana

AT&T has been selected for a $13 million project with the State of Indiana to bring fiber broadband to nine counties. 



The Next Level Connections Broadband project, which is contingent upon a final contract between the state of Indiana and AT&T, will connect nearly 6,100 homes, businesses and farm.

"It's tremendous seeing how our Next Level Connections efforts are helping Hoosier families and business owners obtain access to high-speed, quality broadband," said Indiana Lt. Gov. Suzanne Crouch, who also serves as Indiana's Secretary of Agriculture and Rural Affairs. "This project would bring fiber-based internet to thousands who couldn't get it before, and we're grateful for AT&T's plans for these communities."

AT&T to provide fiber Internet to 750 McDonald’s USA locations

AT&T has been awarded a contract to provide its AT&T Business Fiber to more than 750 McDonald’s restaurants across the U.S. The symmetrical high-speed connectivity of the AT&T fiber network will provide these restaurants with the ability to elevate the customer experience.

AT&T expands FirstNet in Navajo Nation

AT&T announced an expansion of the FirstNet network in the Navajo Nation and a collaboration with Commnet Broadband, NTUA, NTUA Wireless, and the Navajo Nation Telecommunications Regulatory Commission. The rollout includes additional Band 14 spectrum and AT&T commercial LTE spectrum bands across more than 100 sites across Navajo Nation’s 27,000 square miles.

“The expansion of FirstNet coverage equips Tribal first responders serving the Navajo Nation with secure and dedicated connectivity when they need it – both in their daily operations and when emergencies arise. AT&T to bring fiber to City of Amarillo, TX

The city of Amarillo in Texas has selected AT&T for a $24 million project to bring its fiber network to more than 22,000 customer locations throughout the city. The project proposes providing access to AT&T Fiber for homes, businesses and government agencies in the city center. The project is contingent upon funding approval by the city of Amarillo and a final contract between AT&T and the city.

In 2021, AT&T made fiber available in more than 300,000 new locations in Texas.

AT&T Private 5G powers DoD Smart Warehouse demo

AT&T participated in a U.S. Department of Defense (DoD) and U.S. Navy demonstration showcasing a variety of 5G-powered technology solutions that can support the enablement of a Naval "Smart Warehouse."

AT&T's private 5G network, which powered the demonstrations at a warehouse in Naval Base Coronado in San Diego, delivered data throughput speeds of 3.9 Gbps with less than 10 milliseconds of latency.

The 5G Smart Warehouse project at Naval Base Coronado is the DoD program's use-case incorporating 5G capabilities for transshipments between shore facilities and naval units. The goal is to increase the efficiency and fidelity of naval logistic operations including identification, recording, organization, storage, retrieval, and the transportation of materiel and supplies.

AT&T transmits 5G from Flying COW

AT&T recently demonstrated a 5G "Flying COW" (Cell on Wings) over a quiet, non-descript field in rural Missouri.

“We had intermittent, weak LTE signal at the flight location before we launched the 5G Flying COW,” said Ethan Hunt, Unmanned Aircraft Systems (UAS) Principal Program Manager, AT&T. “We flew the drone up to about 300 feet, turned on the signal and it began transmitting strong 5G coverage to approximately 10 square miles.”

AT&T says the drone could be used to quickly set-up 5G service for first responders in a search and rescue mission.

“Our focus within the drone world is connectivity. All of our drone solutions have that focus,” said Art Pregler, Unmanned Aircraft Systems (UAS) Program Director, AT&T. “5G brings a lot of new capability to the table. We can connect a lot larger number of devices with 5G. When we put that up, we can share with a larger population.”

AT&T also highlighted two other drone projects:

  • Beyond Visual Line of Sight (BVLOS) flight operations, GEOCAST air operations -- this would allow the pilot to operate a drone from a completely different location. An AT&T-patented flight control system  allows  operators and  tethered Flying COWs to be separated by thousands of miles.  In the next phase, AT&T will launch untethered Flying COWs.
  • 5G RoboDogs -- which could be used for a number of situations, such as search and rescue or bomb disablement.

AT&T teams with Cradlepoint for Managed Wireless WAN

AT&T is working with Cradlepoint, now part of Ericsson, to launch AT&T Managed Wireless WAN – a plug-and-play solution that provides quick-to-deploy, secure and flexible wireless cellular connectivity to any number of fixed sites, all managed by AT&T network experts.

AT&T Business supplies customers with the Cradlepoint NetCloud service and wireless edge device that is deployed and managed end-to-end by AT&T network experts. It is delivered as a monthly service, avoiding upfront hardware and licensing purchases.

Cradlepoint wireless edge devices are 5G-enabled but will also support 4G connectivity.

DISH to resell AT&T Internet services

AT&T and DISH have entered into a distribution agreement that will allow DISH to offer AT&T Internet services, including AT&T Fiber with Hyper-Gig speeds, to prospective, new and existing DISH customers.

AT&T activates location-based routing for Wireless 9-1-1 calls

AT&T has activated new “Locate Before Route” feature from Intrado to automatically transmit wireless 9-1-1 calls to the appropriate 9-1-1 call centers .  This helps to accurately identify where a wireless 9-1-1 call is coming from using device GPS and hybrid information to route the call to the correct 9-1-1 call center, also known as public safety answering point or PSAP.

With location-based routing, a device can be located and routed within 50 meters of the device location. Prior to this launch, wireless 9-1-1 calls were routed based on the location of cell towers, which can cover up to a 10-mile radius. This can cause delays in emergency response, especially when a call is made within PSAP border areas where state, county or city boundaries overlap.

The nationwide rollout has started and is available in Alaska, Colorado, Hawaii, Idaho, Montana, Oregon, Washington, Wyoming, Kansas, Illinois, Iowa, Minnesota, North Dakota, Missouri, Nebraska, South Dakota and Guam. Additional regions will be rolled out over the next several weeks. The nationwide rollout is scheduled to be completed by the end of June.

AT&T opens PoP within NJFX Cable Landing Station

 

AT&T has activated a network Point-of-Presence (PoP) within the NJFX Cable Landing Station (CLS) colocation campus located in Wall, NJ.

The new PoP will provide access for customers to directly interconnect with subsea capacity services across the Atlantic to Europe and Latin America. International-based customers can transport data to AT&T’s PoP and extend their reach to major U.S. metro markets via their robust U.S. backbone system. Customers can also interexchange traffic across the multiple subsea cable systems available at NJFX, including TGN1, TGN2, and Seabras.

AT&T posts growth in postpaid mobility and fiber

AT&T reported Q1 2022 revenue of $38.1 billion versus $43.9 billion in the year-ago quarter, down 13.3% reflecting the impact of divested businesses, mainly U.S. video in the third quarter of 2021 and Vrio in the fourth quarter of 2021, as well as lower Business Wireline revenues. The decreases were partially offset by higher Mobility revenues and, to a lesser extent, higher WarnerMedia, Consumer Wireline and Mexico revenues. Excluding impacts of the U.S. Video business and Vrio from the prior-year quarter, revenues were $38.1 billion, up 1.6%. First-quarter net income attributable to common stock was $4.8 billion, or $0.65 per diluted common share, versus $7.5 billion, or $1.02 per diluted common share, in the year-ago quarter. 

First-quarter Communications revenues were $28.9 billion, up 2.5% year over year due to increases in Mobility and Consumer Wireline more than offsetting a decline in Business Wireline. Operating contribution was $7.0 billion, down 5.4% year over year, with operating income margin of 24.3%, compared to 26.4% in the year-ago quarter.

“Our momentum in growing customer relationships is reaching historical levels,” said John Stankey, AT&T CEO. “We had our best first quarter for postpaid phone net adds in more than a decade and our fiber broadband net adds remain consistently strong. Our results, including free cash flow, are in line with our expectations toward delivering on the full-year guidance provided at our recent Analyst Day.”

Some highlights

Mobility

  • Revenues were up 5.5% year over year to $20.1 billion due to higher service and equipment revenues. Service revenues were $14.7 billion, up 4.8% year over year, driven by subscriber growth. Equipment revenues were $5.4 billion, up 7.3% year over year, driven by increased sales of higher priced smartphones. Total net adds were 5.5 million including:
  • 965,000 postpaid net adds, which excludes impacts of the 3G network shutdown of 900,000 that were reflected as adjustments to the subscriber base consistent with historical practice, with:
  • 691,000 postpaid phone net adds
  • 62,000 postpaid tablet and other branded computing device net adds
  • 212,000 other net adds
  • 113,000 prepaid phone net adds
  • Postpaid churn was 0.94% versus 0.93% in the year-ago quarter.
  • Postpaid phone churn was 0.79% versus 0.76% in the year-ago quarter.
  • Prepaid churn was less than 3%, with Cricket substantially lower.
  • Postpaid phone-only ARPU was $54.00, down 0.2% versus the year-ago quarter, due to the impacts of promotional discount amortization.

Business Wireline

  • Revenues were $5.6 billion, down 6.7% year over year due to lower demand for legacy voice and data services and a strategic decision to deemphasize non-core services. 
  • AT&T Business serves nearly 2.5 million customers, from the largest global companies and government agencies to small businesses. More than 675,000 U.S. business buildings are lit with fiber from AT&T, enabling high-speed fiber connections to approximately 3 million U.S. business customer locations. Nationwide, more than 9.5 million business customer locations are on or within 1,000 feet of AT&T fiber.

Consumer Wireline

  • Revenues were $3.2 billion, up 2.0% year over year due to gains in broadband more than offsetting declines in legacy voice and data services and other services. Broadband revenues increased 6.8% due to fiber growth of 24.7%, partially offset by non-fiber revenue declines of 5.3%.
  • Total broadband gains, excluding DSL, were 5,000, reflecting AT&T Fiber net adds of 289,000, mostly offset by losses in non-fiber services. 
  • AT&T Fiber now has the ability to serve 17 million customer locations.

AT&T resets focus on connectivity following WarnerMedia deal

AT&T and Discovery completed their previously announced deal to coming the WarnerMedia business with Discovery. This creates a a premier standalone global media and entertainment company, Warner Bros. Discovery, Inc., leaving AT&T to focus on its exclusively on its connectivity mission.

“We are at the dawn of a new age of connectivity, and today marks the beginning of a new era for AT&T,” said John Stankey, AT&T chief executive officer. “With the close of this transaction, we expect to invest at record levels in our growth areas of 5G and fiber, where we have strong momentum, while we work to become America’s best broadband company. At the same time, we’ll sharpen our focus on returns to shareholders. We expect to invest for growth, strengthen our balance sheet and reduce our debt, all while continuing to pay an attractive dividend that puts us among the top dividend paying stocks in America."

Under the deal, at close AT&T received $40.4 billion in cash and WarnerMedia’s retention of certain debt. Additionally, shareholders of AT&T received 0.241917 shares of WBD for each share of AT&T common stock they held at close. As a result, AT&T shareholders received 1.7 billion shares of WBD, representing 71% of WBD shares on a fully diluted basis. Discovery’s existing shareholders own the remainder of the new company. In addition to their new shares of WBD common stock, AT&T shareholders continue to hold the same number of shares of AT&T common stock they held immediately prior to close.

AT&T looks to ramp investment in 5G and fiber

 AT&T is setting its sights on becoming "America's best broadband provider" based on a strategy of owning and operating both fiber and wireless. In light of closing its pending WarnerMedia transaction with Discovery, AT&T updated its financial expectations for 2022 and 2023, saying it will shift Capex to fiber and 5G.

“Now that the close of the WarnerMedia deal is approaching, we are near the starting line of a new era for AT&T,” said John Stankey, AT&T chief executive officer. “The transformation we’ve undergone over the past 18 months while delivering outstanding operational results has brought us to this point. We will be a simpler, more focused company with the intent to become America’s best broadband provider. We plan to ramp up investment in our key areas of growth — 5G and fiber. And at the same time, we will retain our focus on growing customer relationships, continuously improve our execution to enhance the customer experience and deliver growth and returns for our shareholders.

Key elements of the plan:

  • AT&T plans to double its fiber footprint to 30-plus million locations,2 including increasing its business customer locations by 2x to 5 million. In doing so, the company expects to add 3.5 million to 4 million customer locations each year. 
  • AT&T plans to deploy 120 MHz of mid-band spectrum to cover more than 200 million people by the end of 2023. This complements the company’s existing 5G footprint, which covers more than 255 million people in more than 16,000 cities and towns.
  • AT&T also expects to continue benefitting from the migration of customers to its unlimited plans, particularly to higher-ARPU Unlimited Elite — the company’s fastest-growing rate plan. In addition, as its fiber footprint expands, the company expects to continue gaining share in the consumer broadband market where it offers fiber, building upon the momentum it has established with four consecutive years of 1 million or more fiber subscriber additions.
  • AT&T expects to drive significant savings by reducing the company’s legacy copper footprint. By 2025, AT&T expects that 75% of its network footprint will be served via fiber and 5G and that it will have reduced its copper services footprint by 50%. At the same time, the company will successfully navigate the timing and profitability of the migration from legacy to next-generation products to optimize returns.
  • AT&T is also focused on simplifying its business product portfolio, with plans to reduce the number of products and legacy rate plans by 50%. This simplification enables the company to focus on a repeatable playbook to deliver core connectivity and transport solutions with attractive owner’s economics.
  • AT&T is also developing software solutions on top of its connectivity. These include Network Edge solutions through alliances with Microsoft Azure and Google Cloud; Private 5G services offering businesses, universities and the public sector private cellular networks that seamlessly integrate with AT&T’s nationwide macro network; and solutions to provide safe, secure connectivity in today’s hybrid work environments.
  • AT&T plans to use cash flow from more mature businesses to help fuel its planned $24 billion in annual capital investment in 2022 and 2023, with incremental cost savings hitting the bottom line.3
  • By the end of 2023, the company expects to reach $6 billion in run-rate cost savings. By the end of 2021, it had achieved more than $3 billion in cost savings, which were primarily reinvested into the company’s growth engines.
  • In addition to its network pivot from copper to fiber and 5G, the company is focused on enhancing the customer experience and streamlining operations in areas like corporate G&A, supply chain and technology platforms to yield further cost benefits. And in 2022 and 2023, AT&T expects an additional $2.5 billion in cumulative cost savings, which will increasingly fall to the bottom line, driving growth in adjusted EBITDA.

For 2022, the company expects:

  • Low single-digit total revenue growth, up from $118.2 billion on a pro forma basis in 2021, driven by 3% or better growth in wireless service revenues and 6% or better growth in broadband revenues.
  • Adjusted EBITDA of $41 billion to $42 billion, up from $40.3 billion on a pro forma basis in 2021, even with about $600 million in headwinds from 3G shutdown costs and absence of CAF II credits, which are weighted to the first half of 2022.
  • In addition to revenue growth, the company expects adjusted EBITDA to benefit from incremental cost transformation savings of about $1 billion versus 2021 levels.
  • Adjusted EPS of $2.42 to $2.46, compared to $2.41 on a pro forma basis in 2021, with growth in adjusted EBITDA and operating income partially offset by a higher effective tax rate.7
  • Capital investment in the $24 billion range, including about $5 billion to deploy 5G spectrum, compared to $20.1 billion on a pro forma basis for 2021.

For 2023, the company expects:

  • Continued low single-digit revenue growth, driven by low single-digit growth in wireless service revenues and a ramp in broadband revenue growth to the mid to high single-digit range.
  • Adjusted EBITDA of $43.5 billion to $44.5 billion, with approximately $1.5 billion in additional cost transformation savings.
  • Adjusted EPS of $2.50 to $2.60.
  • Capital investment in the $24 billion range with consistent investment in 5G spectrum deployment in the $5 billion range.

Northrop Grumman and AT&T team on 5G defense

Northrop Grumman and AT&T entered into a collaboration agreement to research and develop a digital battle network, powered by AT&T 5G and Northrop Grumman’s advanced mission systems, to support the U.S. Department of Defense (DoD). 

The agreement establishes a joint research and development framework to prototype, demonstrate and test AT&T’s commercial 5G networking capabilities integrated with Northrop Grumman’s robust portfolio of capabilities that are at the forefront of military technological advancement that enable the Joint Force. 

The companies plan to deliver a cost-effective, scalable, open architecture solution that will help the DoD connect distributed sensors, shooters and data from all domains, terrains and forces – similar to how smart devices connect and share data in our everyday lives. This digital battle network is expected to bring together the high speeds, low latency and cybersecurity protections of private 5G networks with the flexibility and scalability of AT&T’s commercial 5G capabilities and offer a critical capability to support the DoD’s vision for Joint All Domain Command and Control (JADC2).

AT&T sets details for WarnerMedia Spin-off

AT&T published the following details regarding the previously-announced deal to combine AT&T’s WarnerMedia business with Discovery, which is expected to be completed in April

AT&T declared a stock dividend to effect the spin-off of 100% of its interest in WarnerMedia to AT&T’s shareholders. The record date for the stock dividend is the close of business on April 5, 2022. 

AT&T shareholders as of the stock dividend record date will be entitled to receive shares of WarnerMedia Spinco common stock, representing 100% of AT&T’s interest in WarnerMedia. 

Immediately following this spin-off, the WarnerMedia Spinco shares will be exchanged for stock representing approximately 71% of the new WBD on a fully diluted basis. The exact number of shares of WBD common stock to be received by AT&T shareholders for each AT&T common share will be determined immediately before the closing based on the number of shares of AT&T common stock outstanding and the number of shares of Discovery common stock outstanding on an as-converted and as-exercised basis.
