Digital Bridge completes acquisition of Switch for $11 billion

DigitalBridge and IFM Investors completed their previously-announced acquisition of Switch, which operates a series of high-performance, SuperNAP co-location data centers.

All outstanding common shares of Switch (NYSE: SWCH) were acquired for $34.25 per share in cash, or approximately $11 billion, including the repayment of outstanding debt.

DigitalBridge closes first stage of DataBank recapitalization

DigitalBridge Group announced the closing of the first stage of its previously announced recapitalization of its portfolio company DataBank, a leading nationwide edge data center platform.

DataBank’s portfolio consists of more than 65 data centers, 20 interconnection hubs in more than 27 markets, on-ramps to an ecosystem of cloud providers, and a modular edge data center platform.

New investors joined Swiss Life Asset Management AG and EDF Invest, increasing the size of this initial stage. As a result, 35% of the fully diluted equity interests in DataBank were sold for approximately $1.5 billion in cash, an increase from the anticipated $1.2 billion.

In connection with the completion of this initial phase of the recapitalization, DigitalBridge received cash proceeds of $318 million, up from the $230 million initially expected, and its ownership in DataBank was reduced to 13.4%. The recapitalization continues to imply a pre-transaction net equity value of DigitalBridge’s ownership of $905 million, reflecting a 2.0x multiple of invested capital (MOIC) since DigitalBridge’s first balance sheet investment in December 2019.

DigitalBridge form Xenith Infrastructure Group for HKG and Singapore

DigitalBridge Group and funds affiliated with Columbia Capital have formed Xenith Infrastructure Group, a new fiber platform serving hyperscalers, data center operators, carriers and enterprises in the Asia-Pacific region

Xenith IG’s initial assets comprise conduit and fiber assets in Singapore and Hong Kong, which it acquired from Superloop.

Xenith IG will be led by Clement Goh, who was appointed Chief Executive Officer, effective August 1, 2022. Mr. Goh brings more than 20 years of digital infrastructure and technology sector experience in the Asia-Pacific market to Xenith IG.

DT to sell 51% stake in towers business to Digital Bridge and Brookfield

Deutsche Telekom will sell 51 percent of GD Towers comprising its tower assets in Germany and Austria, to Digital Bridge and Brookfield at 17.5 billion euros enterprise value on a cash and debt free basis. 

With around 800 employees, GD Towers operates more than 40,000 sites in Germany and Austria and has a successful track record in delivering new sites for its anchor tenant Telekom Deutschland and securing revenues with third party customers. The Company generated 1.1 billion euros of pro forma revenues in 2021. Pro forma adjusted EBITDA AL 2021 amounted to 640 million euros.

Both Digital Bridge and Brookfield have substantial exposure to the European towers sector. In joining forces with Deutsche Telekom, the partners will provide both expertise and long-dated capital to further refine and evolve the GD Towers strategic plans and ambitions for enhanced value creation in both the core towers business and in fast-growing adjacent segments as well as through M&A. The transaction structure enables GD Towers to pursue these value-accretive investments with a capital structure appropriate for an infrastructure business, which otherwise would be subject to the constraints of the Deutsche Telekom balance sheet.

Swiss Life-led Consortium to acquire 27% equity Interest in DataBank

DigitalBridge Group will sell an equity stake in its DataBank company to a consortium led by Swiss Life Asset Management AG and EDF Invest.

DataBank’s portfolio consists of more than 65 data centers, 20 interconnection hubs in more than 27 markets, on-ramps to an ecosystem of cloud providers, and a modular edge data center platform.

Under the terms of the agreement, SLAM and EDF will acquire 27% of the fully diluted equity interests in DataBank for approximately $1.2 billion in cash from existing investors. Upon completion of this initial phase of the recapitalization and pursuant to the transaction announced in this release, DigitalBridge’s ownership interests in DataBank will be reduced to 15.5% and DigitalBridge will receive cash proceeds of $230 million, implying a pre-transaction net value of $906 million, inclusive of retained net value of $676 million. Subsequent stages of the recapitalization are expected to result in incremental new investors acquiring ownership interests in DataBank from existing investors, including DigitalBridge, prior to the anticipated completion of the recapitalization in the fourth quarter of 2022.

DigitalBridge Group agreed to acquire Switch, a leading colocation data center operator, for $34.25 per share in an all-cash transaction valued at approximately $11 billion, including the assumption of debt.

Switch, which was founded in 2000, operates SuperNAP data center campuses in Las Vegas, Reno, and Grand Rapids, Michigan. The company touts its high-resiliecy and high-security designs for mission critical workloads in its "Class 5" data centers. The company boasts zero downtime since company inception (2001). The Switch data centers are powered by 100% renewable energy.

DigitalBridge to acquire Telenet's towers in Belgium

DigitalBridge agreed to acquire the mobile telecommunications tower business of Telenet Group for €745 million in cash (US$820 million).

The deal will provide DigitalBridge with ownership of 100% of Telenet’s passive infrastructure and tower assets, including TowerCo’s nationwide footprint of 3,322 sites in Belgium, including 2,158 owned sites and 1,164 third-party sites.

The business boasts a total tenancy ratio of 1.2x, and a tenancy ratio of 1.6x in towers. The transaction creates the foundation for DigitalBridge to benefit from Telenet’s increased participation in 5G deployment to meet growing coverage needs as underscored by robust market and macroeconomic trends in the telecom.

Telenet also agreed to a lease-back arrangement with DigitalBridge, with an initial period of 15 years and two renewals of 10 years each. The agreement also includes a build-to-suit commitment to deploy a minimum of 475 additional new sites.

DigitalBridge forms ÍslandsTurnar - mobile towers for Iceland

DigitalBridge Group announced the formation of an independent mobile tower company in Iceland through the merger of the telecom tower portfolios of Sýn and Nova, two leading Icelandic mobile network operators.

The new company, called ÍslandsTurnar, is backed by funds affiliated with DigitalBridge Investment Management. Both Sýn and Nova will be long-term customers of ÍslandsTurnar.

ÍslandsTurnar is the first independent tower company of scale in Iceland with national coverage to support the MNOs as they execute their 5G deployment plans. Sýn and Nova are slated to be long-term dual-anchor tenants on all of the Company’s towers and the transaction includes a material BTS 

DigitalBridge said the deal expands its presence in the Nordics, as the firm acquired Finland-based Digita Oy, an independent tower operator with a national portfolio of sites, in 2018.
