Cavium to Acquire QLogic for Server/Storage Adapters

Cavium agreed to acquire all of the outstanding QLogic common stock for approximately $1.36 billion in equity value ($15.50 per share, comprised of $11.00 per share in cash and 0.098 of a share of Cavium common stock for each share of QLogic common stock).

QLogic, which is  based in Aliso Viejo, California, supplies Fibre Channel Adapters, converged network adapter for the Fibre Channel over Ethernet (FCoE) market, Ethernet adapters, iSCSI adapters, and ASICs.  The company has design wins for next generation Ethernet (10/25/50/100Gb) and Fibre Channel (16/32Gb) platforms.

QLogic, which is listed under the NASDAQ symbol QLGC, was created in 1992 after being spun off by Emulex. QLogic has 782 employees.

Cavium said QLogic's portfolio of advanced connectivity and storage solutions is highly complementary to its portfolio of networking, compute, and security solutions. The combination enables Cavium to offer a complete end-to-end offering to customers in Enterprise, Cloud, Data Center, Storage, Telco and Networking markets.

QLogic and Brocade Demo NVMe Over Fabrics with Fibre Channel

QLogic and Brocade demonstrated a Non-Volatile Memory Express (NVMe) over Fabrics solution using Fibre Channel as the fabric.

The demonstration, which is an industry first, is based on the draft specification of NVMe over Fabrics under definition by the NVM Express, Inc. organization and the draft Fibre Channel over NVMe (FC-NVMe) standards under definition by T11.

The companies said this FC-NVMe proof of concept (POC) sets a foundation for lower latency and increased performance, while providing improved fabric integration for flash-based storage.

NVMe provides a standards-based approach for PCI Express (PCIe) solid state drive (SSD) access that significantly improves performance by reducing latency and streamlining the command set while providing support for security and end-to-end data protection. NVMe over Fabrics defines an efficient mechanism to utilize these devices in large scale storage deployments and provides investment protection by allowing the latest in innovations and advances in low latency SSD flash to be used over proven Fibre Channel fabrics. This enables the NVMe storage devices to be shared, pooled and managed more effectively.

Broadcom Sells Certain Ethernet Controller-related Assets to QLogi

Broadcom completed the sale of certain Ethernet controller-related assets to QLogic Corporation for approximately $147 million in cash.

The sale includes certain 10/40/100Gb Ethernet controller-related assets and non-exclusive licenses to intellectual property relating primarily to Broadcom's programmable NetXtreme II Ethernet controller family.

The companies have entered into a long-term supply agreement whereby Broadcom will become ASIC supplier to QLogic in support of the NetXtreme II product line.  QLogic also licensed certain Broadcom patents under a non-exclusive patent license agreement that covers QLogic's Fibre Channel products in exchange for a license fee of $62 million.

In January,  Brocade has sold its network adapter business to QLogic for an undisclosed sum.  This deal included the entire Brocade network adapter product portfolio:
  • Brocade 1860 Fabric Adapters
  • Brocade 815/825 and 415/425 Fibre Channel Host Bus Adapters, or HBAs
  • Brocade 1010/1020 Converged Network Adapters, or CNAs
  • HBA and CNA mezzanine adapters for select OEM partners.
The companies also agreed to work together closely to affirm their commitment to the storage area networking industry, collaborate on the development of the next generation Gen 6 Fibre Channel technology, and strengthen the Fibre Channel vendor ecosystem for the benefit of mutual customers.

Brocade said the sale enables it to focus on meeting the data center networking needs of customers through next-generation fabrics and software defined networking -- the two critical building blocks for modern data centers.
